1. Definitions

• "User", "You", "Client" — any person or entity accessing our website or engaging our services.
• "Services" — the consulting engagements described on our website, including the Operational Clarity Audit, Strategic Partnership Development, and Executive Decision-Making Lab.
• "Agreement" — these Terms and Conditions, together with any engagement letter or scope document.
• "Content" — all text, reports, frameworks, and materials produced by woorakiijs.

2. Acceptance of Terms

By using this website or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into this Agreement, and agree to comply with all applicable Thai laws. If you are acting on behalf of an organization, you represent that you have authority to bind that organization to these terms.

3. Service Description

woorakiijs provides business consulting services in Thailand and the broader Southeast Asian region. Services are delivered as described in individual engagement letters, which form part of the Agreement once signed. We reserve the right to modify or discontinue services at any time with reasonable notice.

4. Engagement Process

All consulting engagements begin with a written engagement letter specifying scope, timeline, deliverables, and fees. No engagement commences until both parties have agreed in writing. Verbal agreements do not constitute binding commitments.

5. User Responsibilities

When using our website or engaging our services, you agree to:

• Provide accurate and complete information when requested
• Not use our website for any unlawful, harmful, or fraudulent purpose
• Not attempt to gain unauthorized access to any part of our systems
• Not transmit viruses, malware, or any disruptive code
• Cooperate reasonably with our consultants during an engagement, including providing access to relevant personnel and information

6. Intellectual Property

All content on this website — including text, design, and structure — is the property of woorakiijs and is protected under Thai intellectual property law. Deliverables produced during a consulting engagement are owned by woorakiijs until full payment is received, at which point ownership of the specific deliverables transfers to the client. woorakiijs retains the right to use general methodologies, frameworks, and anonymized insights from engagements for internal learning and future client work.

7. Payment Terms

Fees are as stated in the engagement letter, denominated in Thai Baht (฿). Payment schedules are agreed per engagement, typically:

• 50% of the fee upon signing the engagement letter
• 50% upon delivery of the final report or conclusion of the final session

Late payments may incur interest at the rate permitted under Thai law. woorakiijs reserves the right to pause or discontinue an engagement where payment is significantly overdue.

8. Confidentiality

Both parties agree to maintain the confidentiality of information shared during an engagement. woorakiijs will not disclose client business information to third parties without consent, except as required by law. Clients agree not to disclose woorakiijs's proprietary methodologies or unpublished materials without consent.

9. Disclaimers

Our services and website content are provided for informational and advisory purposes only. woorakiijs does not guarantee specific business outcomes as a result of our recommendations. All consulting advice is based on information available at the time of the engagement. We do not provide legal, financial, or regulatory advice; clients should seek qualified professional advice for those matters.

10. Limitation of Liability

To the fullest extent permitted by Thai law, woorakiijs's total liability to any client for any claim arising from a consulting engagement shall not exceed the total fees paid by that client for the specific engagement in question. We are not liable for indirect, consequential, or incidental losses, including lost profits or loss of business opportunity.

11. Indemnification

You agree to indemnify woorakiijs against any claims, damages, or expenses arising from your misuse of our website, your breach of these Terms, or any false or misleading information you provided to us.

12. Termination

Either party may terminate an engagement with 14 days' written notice. In the event of termination, fees for work completed to the date of termination will be payable on a pro-rata basis. woorakiijs may terminate immediately if the client has materially breached the Agreement or if payment is significantly overdue.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. Any disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the courts of Bangkok, Thailand, which shall have exclusive jurisdiction.

14. General Provisions

• Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
• Assignment: You may not assign your rights or obligations without our written consent.
• Notices: Formal notices should be sent to [email protected] or to our registered address.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new effective date. Continued use of our website or services after changes are posted constitutes acceptance.
