All consulting engagements begin with a written engagement letter specifying scope, timeline, deliverables, and fees. No engagement commences until both parties have agreed in writing. Verbal agreements do not constitute binding commitments.

All content on this website — including text, design, and structure — is the property of woorakiijs and is protected under Thai intellectual property law. Deliverables produced during a consulting engagement are owned by woorakiijs until full payment is received, at which point ownership of the specific deliverables transfers to the client. woorakiijs retains the right to use general methodologies, frameworks, and anonymized insights from engagements for internal learning and future client work.

Fees are as stated in the engagement letter, denominated in Thai Baht (฿). Payment schedules are agreed per engagement, typically:

Both parties agree to maintain the confidentiality of information shared during an engagement. woorakiijs will not disclose client business information to third parties without consent, except as required by law. Clients agree not to disclose woorakiijs's proprietary methodologies or unpublished materials without consent.

Our services and website content are provided for informational and advisory purposes only. woorakiijs does not guarantee specific business outcomes as a result of our recommendations. All consulting advice is based on information available at the time of the engagement. We do not provide legal, financial, or regulatory advice; clients should seek qualified professional advice for those matters.

10. Limitation of Liability

To the fullest extent permitted by Thai law, woorakiijs's total liability to any client for any claim arising from a consulting engagement shall not exceed the total fees paid by that client for the specific engagement in question. We are not liable for indirect, consequential, or incidental losses, including lost profits or loss of business opportunity.

You agree to indemnify woorakiijs against any claims, damages, or expenses arising from your misuse of our website, your breach of these Terms, or any false or misleading information you provided to us.

Either party may terminate an engagement with 14 days' written notice. In the event of termination, fees for work completed to the date of termination will be payable on a pro-rata basis. woorakiijs may terminate immediately if the client has materially breached the Agreement or if payment is significantly overdue.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. Any disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the courts of Bangkok, Thailand, which shall have exclusive jurisdiction.
